Terms & Conditions

Last updated: 15 September 2026

These Terms & Conditions set out the general rules for services provided by Luka AI Studio. Project-specific details such as scope, price, deadlines and deliverables will be agreed separately in a proposal, quotation, statement of work or other written agreement.

Business registration note: Luka AI Studio is currently preparing its Dutch business registration. The registered business identity, KVK number and business address will be added once registration is completed. Until then, this page is provided in preparation for future client engagements and does not replace project-specific agreements.

1. Services

Luka AI Studio provides digital services including web development, website maintenance, AI automation and technical support. The exact services, deliverables, assumptions and exclusions for a project are determined by the written agreement accepted for that project.

2. Proposals and formation of an agreement

A website inquiry does not by itself create a contract. An agreement is formed when the client accepts a proposal, quotation or other written offer from Luka AI Studio, or when both parties otherwise confirm the project in writing. If project-specific terms conflict with these general terms, the project-specific written agreement takes priority for that project.

3. Client responsibilities

The client must provide accurate information, content, access credentials, approvals and feedback reasonably required to perform the work. The client is responsible for having the necessary rights and permissions for materials it supplies. Delays in providing required information, access or approvals may affect the project schedule.

4. Scope, changes and revisions

The agreed scope and any included revision rounds will be stated in the project agreement. Requests outside that scope may require a revised quotation, additional fee or adjusted delivery date. Luka AI Studio will seek the client's approval before carrying out material additional paid work.

5. Prices, invoices and payment

Prices, VAT treatment, payment schedule, deposits and due dates will be stated in the applicable quotation or invoice. Unless otherwise agreed, invoices must be paid by the due date shown on the invoice. If payment is overdue, Luka AI Studio may suspend further work after giving appropriate notice, subject to applicable law.

6. Delivery and timelines

Delivery dates are based on the information available when the project is agreed. Unless expressly agreed otherwise in writing, schedules are reasonable estimates rather than guarantees. Luka AI Studio will communicate material delays it becomes aware of. Client delays, third-party outages or changes in scope may require the schedule to be adjusted.

7. Acceptance and defects

The client should review delivered work promptly and report reproducible defects or material departures from the agreed scope with enough detail to investigate them. Luka AI Studio will address valid issues in accordance with the project agreement and applicable law. New features, changed preferences or work outside the agreed scope are not defects.

8. Intellectual property

Each party retains ownership of materials, tools, software, know-how and intellectual property it owned before the project or developed independently of it. Rights in custom deliverables and any licence or transfer to the client will be specified in the project agreement. Third-party software, fonts, images, libraries, APIs and other materials remain subject to their own licence terms.

9. Third-party services

Projects may rely on third-party providers such as hosting platforms, domain registrars, email providers, databases, APIs, AI services, plugins or other software. Their availability, pricing and terms are controlled by those providers. Luka AI Studio is not responsible for third-party outages or changes outside its reasonable control, but will provide agreed assistance where the project includes support for those services.

10. AI and automation services

AI systems can produce inaccurate, incomplete or unexpected outputs. Unless expressly agreed otherwise, AI-assisted outputs should be reviewed by a person before they are used for important business decisions or published as final content. The client remains responsible for how it uses and relies on automated or AI-generated outputs delivered for its business.

11. Maintenance and support

Ongoing maintenance, monitoring, updates, support response times and recurring services are included only where expressly agreed. A completed development project does not automatically include indefinite maintenance or support. Terms for recurring services, including duration and cancellation, will be stated in the relevant agreement.

12. Confidentiality

Each party will use reasonable care to protect confidential business information received from the other party and will use it only as necessary for the project, except where disclosure is required by law or the information is already lawfully public or independently known.

13. Personal data

Personal data submitted through this website is handled as described in our Privacy Policy. If a client project requires Luka AI Studio to process personal data on the client's behalf, additional data-processing terms may be required depending on the project.

14. Cancellation and termination

Project-specific cancellation or termination arrangements will be stated in the applicable agreement. On termination, amounts properly due for work already performed and approved costs remain payable, subject to mandatory law. Any statutory consumer cancellation or other rights that cannot legally be excluded remain unaffected.

15. Liability

Nothing in these terms excludes or limits liability where doing so is prohibited by law. To the extent permitted by applicable law, any project-specific limitations of liability will be set out in the relevant agreement. Clients are responsible for maintaining appropriate backups and for reviewing business-critical configurations and outputs before relying on them.

16. Force majeure

Neither party is responsible for delay or failure caused by circumstances beyond its reasonable control to the extent recognised by applicable law. The affected party should inform the other party where reasonably possible and resume performance when the circumstances allow.

17. Consumers

If the client is a consumer, mandatory consumer rights under Dutch and EU law continue to apply and take precedence over any conflicting provision in these terms. Where a statutory cooling-off or cancellation right applies to a distance contract, Luka AI Studio will provide the information and process required by applicable law before the contract is concluded.

18. Governing law and disputes

These terms and agreements with Luka AI Studio are governed by Dutch law, unless mandatory law requires otherwise. The parties should first try to resolve a dispute through direct communication. Any choice of competent court remains subject to mandatory rules protecting consumers and other applicable jurisdiction rules.

19. Changes to these terms

Luka AI Studio may update these terms for future agreements. The version made available to and accepted by the client when an agreement is concluded remains relevant to that agreement unless a lawful change is agreed or otherwise permitted.
